We are active in structured finance transactions, securitisations, leveraged buyouts, syndicated financing, asset and acquisition financing, as well as debt restructuring arrangements. In addition to advising on domestic Ringgit denominated credit facilities, we work with international banks and law firms on cross border foreign currency denominated facilities.
We have considerable experience in structuring and documenting both conventional and Shariah compliant financing transactions, and have been at the forefront of developing Islamic banking products for the ever changing market.

Capital Markets
We are well known in both the equity and debt capital markets, and represent issuers, underwriters, financiers, as well as domestic and international institutional investors.
We have been engaged in many notable and award-winning transactions, including public and private securities offerings, initial public offerings, and Rule 144A and Regulation S international offerings. We are active in REITs and equity linked offerings as well. We were involved in the first listing of a foreign company on the Malaysian stock exchange (Astro), the listing of Malaysia’s stock exchange post demutualisation, and the first concurrent Malaysia-Singapore dual listing (IHH Healthcare).
Besides conventional debt securities, we are well regarded in the field of Shariah compliant transactions including the structuring of Islamic securities, Shariah audits and Islamic financial product development. We have advised on their ventures into the local and international capital markets including the world’s first Malaysian originated yuan-denominated sukuk and the world’s first issuance of Islamic exchangeable bonds. We have advised many financial institutions in the issuance of bank capital (eg. Tier I, Tier II), and other sub-debt instruments.

Mergers & Acquisitions
We have a very active mergers and acquisitions practice, and are well known for our leading edge in structuring, documenting and negotiating a successful deal. Our clients appreciate that we are legally astute and commercially aware, as we advance their interests while ensuring the transaction reaches its desired close.
We advise on numerous transactions encompassing a wide range of structures and techniques, including acquisitions of companies, business and asset acquisitions, take-over offers, de-mergers, schemes of arrangement and selective capital reduction exercises. We have considerable experience in the privatisation of public listed companies by way of innovative legal structures as well as investments and divestments by private equity funds.
Our landmark deals include the Synergy Drive merger to form the enlarged Sime Darby group (the most complex corporate acquisition being the first time merger of 3 large diversified groups with 8 listed entities), and the take-over of Southern Bank which is now part of the enlarged CIMB Group (the first transaction to use the business and assets acquisition mode coupled with a voluntary general offer).

We are involved in some of the country’s largest infrastructure, power and energy projects.
We have substantial experience in the area of privatisation concessions, public-private initiatives, projects and construction work. Our team has advised on rail projects, highway concessions, development of the administrative capital and large integrated projects as well as public and private large scale infrastructure work (hospitals, themed attractions, power and utilities, army camps). Our specialists have also been active in advising on all aspects of construction law, ranging from contract negotiations and execution to dispute resolution.
Known as a leading player for energy, we advise on the entire spectrum of work from power generation, energy procurement, transmission work, submarine cables, cross border ventures, acquisition and related industries, including advising Malaysia’s national power utility company on its power purchase agreements.
