Dato’ Andri is a founder partner of Kadir Andri & Partners. He read in the Chambers of Kadir Kassim in the then Kadir, Tan & Ramli, and thereafter served as a legal assistant until November 2000 when he was made a partner. Prior to joining the firm, he served in the Malaysian Judicial and Legal Service as Federal Counsel.
Dato’ Andri currently heads the Firm’s Islamic Banking practice and is highly regarded for his expertise in banking and finance (Islamic and conventional) and corporate matters including construction, projects and privatisations. He has considerable experience in structuring Islamic financing transactions and is at the forefront of developing new Islamic banking products. Dato’ Andri is a published author. He has written a chapter on “Judicial Review” for the Malaysian Court Forms and co-authored the Judicial Review handbook, both publications by Malayan Law Journal. He has also contributed a chapter in the Malaysian Sukuk Market Handbook published by RAM Rating Services Berhad.
The Legal 500 Asia Pacific consistently names Dato’ Andri as a leading lawyer in his field and has described him as being “very professional with excellent knowledge in Islamic finance.” Dato’ Andri was conferred the Johan Setia Mahkota by the Yang di- Pertuan Agong in June 2011, and the Darjah Dato’ Paduka Mahkota Terengganu by the Sultan of Terengganu in December 2014.

EXPERIENCE
Advised on significant takeover and reorganisation exercises, including Boustead Holdings Berhad in connection with the conditional voluntary take-over offer by Lembaga Tabung Angkatan Tentera, UMW Holdings Berhad on the unconditional mandatory take-over offer by Sime Darby Enterprise Sdn Bhd, and FGV Holdings Berhad on related party acquisitions as part of an internal reorganisation.
Advised extensively on healthcare sector transactions, including the acquisition of business relating to KPJ Damansara Specialist Hospital with KPJ Rawang Specialist Hospital, the proposed acquisition by KPJ Rawang Specialist Hospital of KPJ Klang Specialist Hospital, and the acquisition by Avisena Specialist Hospital of the Avisena Women’s and Children’s Specialist Hospital business.
Provided legal advisory in the energy and infrastructure sector, particularly in relation to independent power producers and the regulatory framework governing energy in Malaysia. Advised on multiple independent power producer proposals involving gas-powered, small hydro and solar projects, including EPCC arrangements, project finance, and corporate structures for small hydro operators.
Legal advisory involving the transfer, merger and acquisitions of business
- Involved in the team that advised on the court process for the mergers and acquisitions involving financial institutions such as Kwong Yik Bank and Malayan Banking Berhad, Sime Bank and RHB Bank and CIMB Bank and Southern Bank.
- Advised on the acquisition of business relating to KPJ Damansara Specialist Hospital with KPJ Rawang Specialist Hospital as well as the proposed acquisition of business by KPJ Rawang Specialist Hospital of KPJ Klang Specialist Hospital.
- Advised on the acquisition of business by Avisena Specialist Hospital of Avisena Women’s and Children’s Specialist Hospital business.
- Advised on the IPOs that involved prior group restructuring of Malaysia Airports Berhad and Puncak Niaga Berhad.
- Advised on mergers of the business of securities exchanges COMMEX and MDEX.
- Advised on the merger of business between Danajamin Berhad with Bank Pembangunan Berhad.
- Involved in the Firm’s advisory team to Boustead Holdings Berhad in respect of the conditional voluntary take-over offer made by Lembaga Tabung Angkatan Tentera to acquire all the remaining ordinary shares in Boustead Holdings Berhad not already held by Lembaga Tabung Angkatan Tentera.
- Involved in the Firm’s advisory team to UMW Holdings Berhad in relation to the unconditional mandatory take-over offer by Sime Darby Enterprise Sdn Bhd to acquire all the remaining ordinary shares in UMW Holdings Berhad not already held by Sime Darby Enterprise Sdn Bhd and Sime Darby Berhad.
- Advised on the acquisition by FGV Holdings Berhad of entities it does not wholly own in a related party transaction for the purposes of internal reorganisation.

- Advised on several independent power producers’ proposals including those relating to gas powered, small hydro and solar.

- Advised Petronas Gas Berhad on the the Gas Supply Act 1993, Gas Supply Regulations 1997, the Gas Supply (Amendment) Act 2016, and relevant Third-Party Access Codes.
