Shamsul Zulkifli joined Kadir Andri & Partners in 2023 as a Partner in the Banking & Finance Department. His portfolio includes corporate and Islamic finance, corporate and commercial and conveyancing matters.

Shamshul Zulkifli regularly acts for financial institutions and major corporations in real estate matters which include property acquisition and divestment, development projects, commercial leasing and property financing.

EXPERIENCE

  • Advised on the Islamic private debt securities financing for Putrajaya Holdings Sdn Bhd of the development of Putrajaya Government Quarters, parcels A, B, C, D, E and public facilities Precinct 10, Government Office Buildings, aggregating over RM9 billion;
  • Advised Putrajaya Holdings Sdn Bhd on the issuance of RM1.5 billion nominal value Murabahah Commercial Papers and/or Medium Term Notes Programme;
  • Advised on the issuance of RM450 million under an Islamic Securities Programmes by Sacofa Sdn Bhd through its special purpose vehicle, Pinnacle Tower Sdn Bhd;
  • Advised on the issuance of Sukuk Istisna’ of RM425 million for the project financing of Sarawak Specialist Hospital and Medical Centre Sdn Bhd;
  • Advised on the issuance of RM300 million Sukuk Ijarah Programme by Al-‘Aqar KPJ REIT through its special purpose vehicle, Al-Aqar Capital Sdn Bhd;
  • Advised on Islamic Bai’ Bithaman Ajil Bonds issue of RM247 million by Konsortium Lebuhraya Butterworth-Kulim Sdn Bhd;
  • Advised Maybank Islamic Berhad on their Islamic banking facilities granted to UEM Sunrise Berhad being cumulatively, the various Islamic facilities in the aggregate amount of up to RM350 million;
  • Advised on the issuance of Sukuk Musyarakah of RM150 million for the project financing of independent oil terminals by Assar Chemicals Sdn Bhd;
  • Advised on the syndicated financing of Columbia Asia Sdn Bhd for the amount of Ringgit Malaysia Two Hundred and Fifty Million (RM250,000,000.00) only under the Islamic contract of Ijarah;
  • Advised the Royal Bank of Scotland Plc in relation to the provision of security by Labuan incorporated companies in connection with a 390 million Euro syndicated facility to finance the global acquisition of the trust and fiduciary business of the Insinger Trust Holdings Limited;
  • Advised Affin Bank Berhad on its banking facility of up to RM200 million granted to PKNS Real Estate Sdn Bhd (“PREC”) by Affin Bank Berhad to finance the purchase by PREC of various buildings and malls throughout Klang Valley from PKNS pursuant to the setting-up of a dedicated real estate company by PKNS; and
  • Advised on the financing of Malaysia Steel Works involving security sharing by conventional banks and Bank Islam Malaysia Berhad.
