Sia Yen has over 20 years of experience advising a wide range of clients, including international and domestic energy companies, major utilities, national oil companies, sovereign wealth funds, private equity houses, government bodies and single asset operators.

Sia Yen advises on a broad range of complex regulatory issues and legal framework, with a particular focus on structuring the development, construction and financing of major infrastructure and sustainable land developments, renewable energy projects, acquisition of upstream assets, refinery complex, wastewater treatment plants, port privatisation and the design, development, and implementation of controls to manage the regulatory risks.

With the increased global attention on decarbonisation, renewable energy sources, security of supply, ESG and net zero targets, Sia Yen has been active in providing practical and innovative advice on these issues in a wide variety of contexts, including implementing regulatory reform, assisting clients with evolutionary changes to their business strategies, and conducting due diligence and structuring acquisitions or disposals of businesses.

Sia Yen also has experience in advising on AXIS REIT, UOA REIT and Sunway REIT, and successful property development projects. She regularly acts for domestic and foreign investors, government-linked and public-listed companies, in real estate matters. She also advises on various commercial matters and foreign investment in Malaysia.

EXPERIENCE

  • Advised Worldwide Holdings Bhd, a company wholly owned by the Selangor state government, in relation to the engineering, procurement, construction, and commissioning contracts for three (3) waste-to-energy facilities at Jeram Sanitary Landfill, Kuala Selangor, and Tanjung Dua Belas, Selangor.
  • Advised Solarcity Malaysia Sdn Bhd in relation to the EPCC contract and operation and maintenance contract for their solar photovoltaic energy generation system in Pulau Pinang.
  • Advised Tenaga Nasional Berhad in relation to the development of the 1,071MW gas fired independent power plant in Seberang Perai Penang, which includes reviewing and advising on the request for proposal (“RFP”) and the documents issued in conjunction with the RFP such as a power purchase agreement, gas supply agreement, and land lease agreement.
  • Advised Tenaga Nasional Berhad in relation to the development of a 1,010MW coal fired independent power plant in Manjung, Perak which includes reviewing and advising on the RFP and the documents issued in conjunction with the RFP such as a power purchase agreement, coal supply and transportation agreement and land lease agreement.
  • Advised a financial institution in relation to the proposed financing of a 29.99MWac ground-mounted solar project in Malaysia under the Malaysia Corporate Green Power Programme.
  • Advised on Veolia Water Technologies’ concession agreement in respect of the development of the Tun Razak Exchange (TRX) water treatment plant project.
  • Advised Malaysian Resources Corp Bhd’s (MRCB) wholly owned subsidiary, Country Annexe Sdn Bhd, on the joint venture development agreement with Ipoh Sentral Sdn Bhd, to jointly develop Ipoh Sentral in Perak with an estimated gross development value of RM6.25bil. Ipoh Sentral Sdn Bhd is a joint venture company established by Railway Assets Holding Sdn Bhd, a wholly owned subsidiary of Railway Assets Corporation, and Silver Smart Sdn Bhd, a wholly owned subsidiary of the State Secretary, Perak (Incorporation), to undertake the development project of Ipoh Sentral on the Site based on a transit-oriented development model.
  • Advised Tanjung Aru Eco Development Sdn. Bhd., the project promoter, which is a wholly-owned Sabah State Government company under the Sabah Chief Minister’s Department, in relation to the Tanjung Aru Eco Development Project. Our scope of work includes providing recommendation on the development models for the project, advising on any governmental and regulatory requirements applicable to the Project, advising on any legal matters in connection to the role and function of TAED, and drafting, reviewing and advising on consultancy agreements, development agreements, construction contracts, tender documents and all other project documents in relation to the project.
  • Advised on the strategic partnership between IJM Corporation Berhad and China Harbour Engineering Company Ltd. and the sale and purchase agreement for the development of Malaysia-China Kuantan International Logistics Park, an integrated mixed development and logistics hub in Kuantan.
  • Advised China Communications Construction Company (M) Sdn. Bhd. in relation to the reclamation works concerning the Seri Tanjung Pinang (Phase II) Development Penang Project. The Project comprises two parts. The first part involves acceptance of the tender to reclaim Phase 2A of STP2 (Package 1) for a contract price of approximately RM1.035 billion.
  • Advised Worldwide Holdings Berhad and Worldwide Property Management Sdn. Bhd. on a development rights agreement with Menteri Besar Selangor (Perbadanan) and Kemudi Ehsan Sdn Bhd for the development of a township project in Ijok, Selangor with an estimated gross development value of RM3.43 billion.
  • Advised Pelaburan Hartanah Berhad in relation to the acquisition of a high-performing industrial property, with a total investment value of approximately RM247 million (combined with the acquisition of another property located at the Port of Tanjung Pelepas, Gelang Patah, Johor).
  • Advised Lam Research International Sdn Bhd on the construction contract of a facility at Batu Kawan Industrial Park, Penang, and a facility at Bayan Lepas Industrial Zone, Penang.
  • Advised Coca-Cola Bottlers (Malaysia) Sdn Bhd in relation to the construction and expansion of its manufacturing facility.
  • Advised Pengerang Refining Company Sdn. Bhd. in relation to the refinery and petrochemical integrated development located in the Pengerang Integrated Complex in Johor.
  • Advised a foreign entity on the sale and purchase of participating interests in respect of the Production Sharing Contracts offshore Sarawak, Malaysia, from Sarawak Shell Berhad, and prepared the due diligence report on the project documents for the intended acquisition.
